Overview

Welcome to Toptieta. The terms “we,” “us,” and “our” refer to Toptieta. We operate www.toptieta.com and its related content, features, tools, products, and services (the “Services”). Our store is powered by Shopify.

These Terms of Service (“Terms”), together with our Privacy Policy, Return & Refund Policy, and Shipping Policy, explain the terms that apply to your use of the Services and purchases from us.

Please read these Terms before using the Services or placing an order. By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

Nothing in these Terms excludes or limits consumer rights, warranties, remedies, or liabilities that cannot lawfully be excluded or limited. Our published return, refund, and delivery commitments remain applicable.

Section 1 — Access and Account

You must have the legal capacity to enter into a binding agreement and be at least the age of majority in your jurisdiction to place an order or create an account.

You agree to provide accurate, current, and complete contact, billing, payment, and delivery information and to update it where necessary.

If you use an account, keep your login credentials confidential and notify us promptly if you suspect unauthorized access. You may not sell, transfer, or license your account to another person.

You remain responsible for activity you authorize through your account, subject to applicable law.

Section 2 — Our Products

We aim to provide accurate product descriptions, images, pricing, availability, and sizing information.

Colors may appear differently depending on your screen and display settings. Product measurements and fit may vary between styles, so please review the specific product description and sizing information before ordering.

These normal variations do not remove your rights when a product is defective, materially different from its description, or incorrect.

We may update product listings, discontinue products, or limit purchase quantities. Changes to listings do not automatically change an order already accepted by us.

Section 3 — Orders

When you submit an order, you make an offer to purchase the selected products under these Terms. Orders are subject to successful payment authorization, availability, and confirmation by Toptieta.

We may decline or cancel an order for a legitimate reason, such as unavailable stock, unsuccessful payment authorization, suspected fraud, or a material listing error.

If we cannot fulfill an order, we will notify you using the contact details you supplied. If payment has already been collected for a canceled item, we will refund that amount to the original payment method. We will not substitute a different item or impose additional charges without your agreement.

To request a change or cancellation, contact hello@toptieta.com promptly. Changes may no longer be possible once an order has been prepared or dispatched. After shipment, please follow our Return & Refund Policy.

Purchases through our consumer storefront are intended for personal or household use unless we agree otherwise.

Section 4 — Prices and Billing

Our United States storefront displays prices and checkout totals in U.S. dollars (USD).

Before payment, checkout shows the applicable product prices, discounts, taxes, shipping charges, and final order total. Standard shipping is free on all United States orders, with no minimum purchase amount, as described in our Shipping Policy.

Prices and promotions may change for future purchases. The amount applicable to your order is the amount shown when you place it, subject to the error-resolution process in Section 12.

You must be authorized to use the payment method you select and provide accurate billing information. Payment options available for your order are displayed at checkout and described in our Payment Terms.

Where an installment payment option is offered, eligibility and repayment terms are determined by the payment provider and presented before you agree to the plan. We do not guarantee financing approval.

Any currency conversion or other charge imposed independently by your bank or payment provider is governed by that provider’s terms.

Promotion conditions, including eligibility, expiry dates, and restrictions on combining offers, will be stated with the relevant offer. Promotion terms do not remove rights that cannot be waived under applicable law.

Section 5 — Shipping, Delivery, Returns, and Exchanges

We currently ship to the United States.

Our standard estimates are:

• Order processing: 1–3 business days.

• Shipping transit: 6–9 business days.

• Total delivery: 7–12 business days, including processing and transit.

• Business days: Monday–Friday, excluding U.S. public holidays.

• Order cutoff: 12:00 AM Eastern Time (ET). Orders placed after the cutoff are scheduled to begin processing on the next business day.

These estimates are subject to the cutoff schedule and the delivery details in our Shipping Policy. Unexpected carrier or other disruptions may affect delivery. We will assist with delayed, missing, or damaged shipments; dispatch to a carrier does not remove our obligations under our policies or applicable law.

We accept eligible returns and exchanges within 30 calendar days of delivery, including returns for defective and non-defective products. Non-defective items must meet the new-condition requirements in our Return & Refund Policy.

Returns are by mail. Customers arrange return labels and pay postage for customer-preference returns; Toptieta covers reasonable standard return postage when the issue is our responsibility. We do not charge a restocking fee.

Eligible refunds are inspected and submitted within 3 days of receiving the returned item. Banks and payment providers may need additional time to credit the account.

Section 6 — Intellectual Property

The Services and their original content, design, text, graphics, logos, images, and other materials are owned by Toptieta or used under rights held by the relevant owners or licensors.

Third-party names, trademarks, logos, and product branding remain the property of their respective owners. Their appearance does not, by itself, imply an official partnership or endorsement.

You may use the Services for personal, non-commercial shopping. Except where permitted by law, you may not reproduce, distribute, modify, commercially exploit, or republish protected material without permission from the relevant rights holder.

These Terms do not transfer ownership of intellectual property or grant rights beyond those necessary for permitted use of the Services.

Section 7 — Optional Tools

The Services may provide access to optional tools or features supplied by third parties. Those tools may be governed by the provider’s own terms and privacy policy.

Please review those terms before using an optional tool. We do not control independent third-party services or guarantee their availability.

Any disclaimer relating to such tools applies only to the extent permitted by law and does not remove our responsibilities for our own products, orders, or published commitments.

Section 8 — Third-Party Links

The Services may contain links to third-party websites or embedded functionality. Those providers are responsible for their own content, services, and privacy practices.

A link does not, by itself, constitute an endorsement. Review the relevant provider’s policies before entering information or completing a transaction on its website.

Questions about an independent third-party service should be directed to that provider. Questions about an order placed with Toptieta should be directed to us.

Section 9 — Relationship with Shopify

Toptieta is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Toptieta. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Toptieta, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Toptieta.

Section 10 — Privacy Policy

Our collection, use, and disclosure of personal information are described in our Privacy Policy.

Shopify hosts the Services and processes personal information about your visits, purchases, and other interactions to provide and improve its services. Our use of Shopify enhanced features may involve sharing activity information with Shopify to support personalization, relevant advertising, and analytics, as explained in our Privacy Policy.

Information may also be processed by service providers located outside your country. Shopify’s own processing is described in the Shopify Consumer Privacy Policy, and applicable choices are available through the Shopify Privacy Portal.

Agreement to these Terms does not replace any separate privacy or marketing consent required by law.

Section 11 — Feedback and Reviews

If you voluntarily submit public reviews, suggestions, or other feedback (“Feedback”), you grant us a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, and use that Feedback to operate, improve, and promote the Services, subject to applicable law and your privacy rights.

You retain ownership of your Feedback and confirm that you have the necessary rights to submit it. Reviews must reflect genuine experiences, and you must disclose any compensation or incentive where required.

Feedback must not infringe intellectual property or privacy rights, contain unlawful threats or defamatory content, include malware, or misrepresent its source.

We may remove content that violates these Terms or applicable law. We do not remove a review solely because it expresses a negative opinion.

This public Feedback license does not apply to private payment information or confidential customer-support materials.

Section 12 — Errors, Inaccuracies, and Omissions

We may correct errors in descriptions, prices, promotions, availability, or delivery information.

If a material error affects an order you have placed, we will contact you before proceeding with a change that affects the product, price, or other essential purchase terms.

You may choose whether to accept the proposed correction. If the order cannot be fulfilled on the agreed terms and is canceled, any payment collected for the canceled item will be refunded to the original payment method.

Corrections do not permit us to impose undisclosed charges or disregard applicable consumer rights.

Section 13 — Prohibited Uses

You may use the Services only for lawful purposes. You must not:

• Submit fraudulent orders or false payment information.

• Impersonate another person or misrepresent your identity.

• Infringe intellectual property, privacy, or other legal rights.

• Harass, threaten, or abuse another person.

• Send spam, phishing messages, or other deceptive communications.

• Introduce malware or interfere with the Services.

• Collect other users’ personal information without authorization.

• Bypass security controls or access restricted systems.

• Use unauthorized scraping or automated tools to extract or commercially exploit content.

We may restrict access or suspend an account where reasonably necessary to address a breach, fraud, or security risk. Restrictions do not remove obligations relating to legitimate paid orders, refunds, or applicable consumer rights.

Section 14 — Automated Agents

An “Agent” is software or a service that takes autonomous or semi-autonomous action on behalf of a person.

An Agent interacting with the Services must identify itself accurately and comply with access restrictions. In HTTP or HTTPS requests, it must disclose its name in the user-agent string using the format “Agent/[agent name]”.

Agents must not conceal their automated nature, impersonate human users, circumvent CAPTCHAs or other access controls, or give false answers to questions about whether an interaction is automated.

We may limit or block Agent access. An Agent must stop accessing the Services when requested. Use of an Agent does not remove the user’s responsibility for actions they authorize.

Section 15 — Termination

We may suspend or terminate access to the Services where permitted by law, including for a material breach of these Terms, fraudulent activity, or a security risk.

Termination does not cancel accrued rights or obligations, including valid payment obligations, outstanding refunds, or commitments concerning accepted orders.

Provisions that by their nature should continue, including intellectual property, privacy, lawful liability limitations, dispute provisions, and accrued obligations, survive termination.

Section 16 — Disclaimer of Warranties

We aim to keep the Services available and accurate, but do not guarantee uninterrupted or error-free website operation.

Except for our express commitments and warranties or rights provided by applicable law, the Services are provided “as is” and “as available” to the extent permitted by law.

No disclaimer in these Terms overrides a product description, our published Return & Refund Policy, or a warranty or remedy that cannot legally be excluded.

Where a jurisdiction does not permit a particular disclaimer, that disclaimer does not apply to the extent prohibited.

Section 17 — Limitation of Liability

To the extent permitted by applicable law, Toptieta and its service providers are not liable for indirect, incidental, special, or consequential losses arising from use of the Services, such as lost business profits or losses caused by unauthorized misuse of the website.

These limitations do not exclude or restrict liability that cannot lawfully be limited, including any applicable liability for fraud, willful misconduct, or other legally protected claims.

Nothing in this section removes your right to an eligible refund, replacement, or other remedy under our policies or applicable law.

Section 18 — Indemnification

To the extent permitted by law, you agree to indemnify Toptieta, Shopify, and their relevant personnel and service providers against third-party claims and reasonable associated costs arising from your unlawful conduct, infringement of another party’s rights, or material breach of these Terms.

This obligation does not apply merely because you make an ordinary purchase, exercise a consumer right, or submit a good-faith complaint. It does not extend to losses caused by our own unlawful conduct.

We will provide notice of a relevant claim and reasonably cooperate regarding its defense. We will not agree to a settlement imposing a non-monetary obligation on you without your consent.

Section 19 — Severability

If a provision of these Terms is found unlawful or unenforceable, it will be limited or severed to the extent necessary. The remaining provisions continue to apply, subject to applicable law.

Section 20 — Waiver and Entire Agreement

A failure to enforce a provision does not waive the right to enforce it later.

These Terms, the policies incorporated into them, and the agreed details of your order form the agreement concerning your use of the Services and purchases from Toptieta.

Nothing in this section excludes legally binding pre-contract information, express commitments, or rights that cannot be waived.

Section 21 — Assignment

You may not transfer your contractual rights or obligations under these Terms without our consent, except where permitted by law.

We may transfer our rights or obligations as part of a legitimate business transaction, subject to applicable law. A transfer will not reduce your existing consumer rights or the commitments applicable to an accepted order.

Section 22 — Governing Law

These Terms are governed by the laws of the State of Florida and applicable United States federal law, subject to any mandatory consumer protections that apply to you.

Where permitted by law, disputes may be brought before the state or federal courts serving Pinellas County, Florida.

This provision does not prevent you from bringing a claim in another forum where applicable consumer law gives you that right.

Section 23 — Headings

Headings are provided for convenience and do not change the meaning of these Terms.

Section 24 — Changes to These Terms

We may update these Terms to reflect changes to the Services, business practices, or legal requirements. The current version will be posted on this page with an updated date.

Material changes will be communicated as required by law. Updated Terms apply prospectively and do not automatically alter the agreed terms of an order already accepted.

Your continued use of the Services after updated Terms become effective constitutes acceptance where permitted by law.
